BANK OF AMERICA HISTORY
Bank of America Corporation (NYSE: BAC), based in Charlotte, North Carolina is the largest financial
services company in the world[4], largest bank by assets,[3] second largest commercial bank by
deposits, and (previously) third largest by market capitalization in the United States.[5][6] Also, Bank of
America is the number one underwriter of global high yield debt, the third largest underwriter of
global equity and the ninth largest adviser on global mergers and acquisitions.[7]

Bank of America serves clients in more than 150 countries and has a relationship with 99 percent of
the U.S. Fortune 500 companies and 83 percent of the Fortune Global 500. The company is a component
of the Dow Jones Industrial Average and a member of the Federal Deposit Insurance Corporation
(FDIC).[8]

The Bank, once considered one of the winners and healthiest survivors of the 2007 credit crisis,
plunged in market value after its purchase of Merrill Lynch.
Merger of NationsBank and BankAmerica
In 1997, BankAmerica lent D. E. Shaw & Co., a large hedge fund,
$1.4bn so that the hedge fund would run various businesses for
the bank. However, D.E. Shaw suffered significant loss after the
1998 Russia bond default. BankAmerica was acquired by
NationsBank later that year in October.

The purchase of BankAmerica Corp. by the NationsBank
Corporation was the largest bank acquisition in history at that
time. While the deal was technically a purchase of BankAmerica
Corporation by NationsBank, the deal was structured as merger
with NationsBank renamed to Bank of America Corporation,

Acquisition of Countrywide Financial
On August 23, 2007 the company announced a $2 billion
repurchase agreement for Countrywide Financial. This purchase
of preferred stock was arranged to provide a return on
investment of 7.25% per annum and provided the option to
purchase common stock at a price of $18 per share.[14]

Following that initial investment, on January 11, 2008, Bank of
America announced that they would buy Countrywide Financial
for $4.1 billion.[15] This acquisition, which closed on July 1, 2008,
gave the bank a substantial market share of the mortgage
business, and access to Countrywide's expertise, technology,
and employees for servicing mortgages.[

On July 1, 2008, Bank of America Corporation completed its
purchase of Countrywide Financial Corporation. This purchase
made it the USA's leading mortgage originator and servicer,
controlling between 20 to 25 percent of the home loan market

Acquisition of Merrill Lynch
On September 15, 2008, Bank of America announced its
intentions to purchase Merrill Lynch & Co., Inc. in an all-stock
deal worth approximately $ 50 billion, about 86% of the Bank of
America stock price at close. This acquisition will make Bank of
America the largest financial services company in the world.[
HISTORY

Bank of Italy
The Bank of Italy was founded in San Francisco by Amadeo
Giannini in 1904, based on catering to immigrants. Amadeo
was raised by the Fava/Stanghellini family when his father
was shot while trying to collect on a $10.00 debt. When the
1906 San Francisco earthquake struck, Giannini was able to
get all of the deposits out of the bank building and away from
the fires.

In 1922, Giannini established Bank of America and Italy in Italy
by buying Banca dell'Italia Meridionale, itself only established
in 1918.

In the late 1920s, Giannini approached Orra E. Monnette,
President and founder of Bank of America, Los Angeles,
about a merger between the two entities. The Los Angeles
based bank had exhibited strong growth throughout the
1920s, due in part to its success in developing an advanced
branch banking system. The merger was completed in early
1929 and took the name Bank of America. The combined
company was headed by Giannini with Monnette serving as
co-Chair.

Bank of America Offers To Homeowners -- READ BELOW
Bank of America Offers Principal Reductions to
200,000 Homeowners

A select group of struggling mortgage borrowers are about to get an
offer that sounds too good to be true. Executives at Bank of America
say they will begin mailing 200,000 letters offering certain customers
mortgage principal reduction.

“If people get these things and toss them, they won’t be eligible,”
says Ron Sturzenegger, the Bank of America executive charged with
providing solutions to borrowers in need of mortgage assistance.

But the offer is real, and eligible borrowers could get as much as
$150,000 knocked off the balance of their mortgages. It is all part of
the $25 billion settlement reached this year between federal and
state agencies and the nation’s five largest mortgage servicers
over fraudulent foreclosure document processing (so-called “robo-

Bank of America (BAC), in a deal with state attorneys general and the
U.S. Department of Justice, committed $11 billion to mortgage
principal reduction, but executives say they will go beyond that if
enough borrowers respond to their offer.

Five thousand borrowers have already received a collective $700
million in principal reduction through a pilot program for those
already in a modification negotiation. The 200,000 borrowers being
targeted now may have already exhausted modification options or
may have yet to contact the lender.

Executives say borrowers receiving the letters are eligible, but they
still have to prove they qualify. In order to be eligible, a borrower
must be 60 days late on the mortgage payment as of Jan. 31, 2012.

The borrower has to owe more on the mortgage than the home is
currently worth, commonly known as being “underwater” on the
mortgage, and the borrower’s loan must either be owned by Bank of
America or serviced by Bank of America for an investor who is

In order to qualify for the modification, the borrower must answer
the letter with full documentation of income, showing that under the
terms of the modification they can still make the monthly payment. A
borrower with no income would therefore not qualify. A borrower’s
current monthly payment must be  more than 25 percent of gross
income, and the borrower must show they are unable to afford that.

“If you can afford to make your monthly payment and are choosing
not to, you will not get this principal modification,” says

If the borrower qualifies, Bank of America will bring the monthly
mortgage payment down to 25 percent of the borrower’s gross
income. That could mean principal forgiveness well over $100,000,
as there is no limit to the amount of the mortgage. If enough
borrowers respond, it could cost Bank of America far more than it
committed to in the settlement.

“Yes, we have the capability to go well beyond the $11 billion,” adds

Bank executives say that before choosing which borrowers will get
the offer, they performed a net present value test on each loan,
making sure that the principal reduction modification would net
Bank of America or the investor who owns the loan more than
foreclosing on the home. “It has to be fair to the investor as well,”
says Sturzenegger.

Not all of the 200,000 borrowers who receive the letters are
expected to respond. Executives say there is a level of fatigue
among delinquent borrowers who have already received several
notices or who may have gone through a failed modification process
already. Some borrowers simply don’t want to stay in their homes,
while others may think the offer is a scam.

“They have been contacted by a lot of other people, and this offer
may appear too good to be true,” says Sturzenegger.

That’s why Bank of America is sending the letters by certified mail
and trying to make the language as simple as possible. A sample
letter obtained by CNBC shows a bring red box in the top corner
labeled, “IMPORTANT” and simple language stating, “Qualifying
customers may reduce their monthly payment by an average of 35

Some 6,500 letters should be arriving in mailboxes across the
country this week, with a wave of new letters going out every week
until the end of the summer, when all 200,000 should have been
mailed. Bank of America is staggering the mailings in order to
handle the expected response.

The bank has staffed up to handle the task, with 50,000 employees
manning servicing desks, but the process will clearly take a lot of
time. That’s why Bank of America has suspended any foreclosure
actions against these 200,000 borrowers until the process is

There are currently 5.59 million U.S. loans that are either
delinquent or in the foreclosure process, according to Lender

Bank of America services one million of those loans, but many
of them are owned by Fannie Mae and Freddie Mac.

Their regulator, Edward DeMarco of the Federal Housing
Finance Agency, has yet to agree to principal reduction in loan
modifications, despite harsh criticism from some lawmakers on
Capitol Hill and increasing pressure from the White House.

A collateralized debt obligation (CDO) is a type of structured asset-backed security
(ABS).[1] Originally developed for the corporate debt markets, over time CDOs
evolved to encompass the mortgage and mortgage-backed security ("MBS")
markets.

Like other private label securities backed by assets, a CDO can be thought of as a
promise to pay investors in a prescribed sequence, based on the cash flow the
CDO collects from the pool of bonds or other assets it owns. The CDO is "sliced"
into "tranches", which "catch" the cash flow of interest and principal payments in
sequence based on seniority.

If some loans default and the cash collected by the CDO is insufficient to pay all of
its investors, those in the lowest, most "junior" tranches suffer losses first. The
last to lose payment from default are the safest, most senior tranches.

What is a 'Synthetic CDO'

A synthetic CDO is a form of collateralized debt obligation (CDO) that invests in
credit default swaps (CDSs) or other noncash assets to gain exposure to a
portfolio of fixed income assets. Synthetic CDOs are typically divided into credit
tranches based on the level of credit risk assumed. Initial investments into the
CDO are made by the lower tranches, while the senior tranches may not have to
make an initial investment.

'Synthetic CDO'
In a synthetic CDO, all tranches will receive periodic payments based on the cash
flows from the credit default swaps. Normally, the payoffs of synthetic CDOs are
only affected by credit events associated with CDSs. If a credit event occurs in the
fixed income portfolio, the synthetic CDO and its investors become responsible for
the losses, starting from the lowest rated tranches and working its way up.

Synthetic CDOs are a modern advance in structured finance that can offer
extremely high yields to investors. However, investors can be on the hook for
much more than their initial investments if several credit events occur in the
reference portfolio.

Tranches

Tranches are also known as slices of credit risk between risk levels. Normally, the
tranches primarily used in CDOs are typically known as senior, mezzanine and
equity. The senior tranche includes securities with high credit ratings and tends to
be low risk and therefore have lower returns. Conversely, an equity-level tranche
carries a higher degree of risk and holds derivatives with lower credit ratings.

History of Synthetic CDOs

Synthetic CDOs were first created in the late 1990s as a way for large holders of
commercial loans to protect their balance sheets without actually selling the loans
and potentially harming client relationships.

They have become increasingly popular because they tend to have shorter life
spans than cash flow CDOs, and there is no extended ramp-up period for earnings
investment. Synthetic CDOs are also highly customizable between the underwriter
and investors.
Mortgage-backed security

A mortgage-backed security (MBS) is a type of asset-backed security that is secured
by a mortgage or collection of mortgages. The mortgages are sold to a group of
individuals (a government agency or investment bank) that securitizes, or packages,
the loans together into a security that investors can buy..

The mortgages of an MBS may be residential or commercial, depending on whether it
is an Agency MBS or a Non-Agency MBS; in the United States they may be issued by
structures set up by government-sponsored enterprises like Fannie Mae or Freddie
Mac, or they can be "private-label", issued by structures set up by investment banks.

The structure of the MBS may be known as "pass-through", where the interest and
principal payments from the borrower or homebuyer pass through it to the MBS
holder, or it may be more complex, made up of a pool of other MBSs..

The basics are:
1.Mortgage loans (mortgage notes
) are purchased
from banks and other lenders, and possibly assigned to a special purpose vehicle
(SPV).
2.The purchaser or assignee assembles these loans into collections, or "pools".

3.The purchaser or assignee securitizes the pools by issuing mortgage-backed
securities.

While a residential mortgage-backed security (RMBS) is secured by single-family or
two- to four-family real estate, a commercial mortgage-backed security (CMBS) is
secured by commercial and multi-family properties, such as apartment buildings,
retail or office properties, hotels, schools, industrial properties, and other
commercial sites. A CMBS is usually structured as a different type of security than an
RMBS.

These securitization trusts may be structured by government-sponsored enterprises
as well as by private entities that may offer credit enhancement features to mitigate
the risk of prepayment and default associated with these mortgages.

Since residential mortgage holders in the United States have the option to pay more
than the required monthly payment (curtailment) or to pay off the loan in its entirety
(prepayment), the monthly cash flow of an MBS is not known in advance, and an MBS
therefore presents a risk to investors.

In the United States, the most common securitization trusts are sponsored by Fannie
Mae and Freddie Mac, US government-sponsored enterprises. Ginnie Mae, a US
government-sponsored enterprise backed by the full faith and credit of the US
government, guarantees that its investors receive timely payments but buys limited
numbers of mortgage notes. Some private institutions also securitize mortgages,
known as "private-label" mortgage securities
A residential mortgage-backed security
(RMBS)
is a pass-through MBS backed by mortgages on residential
property.
A commercial mortgage-backed security (CMBS) is a pass-through MBS backed
by mortgages on commercial property.

A collateralized mortgage obligation, or
"pay-through bond"
, is a debt obligation of a legal entity that is
collateralized by the assets it owns.

Pay-through bonds are typically divided into classes that have different
maturities and different priorities for the receipt of principal and in some cases of
interest

These types are not limited to Mortgage
Backed Securities. Bonds backed by
mortgages but that are not MBSs can also
have these subtypes.

There are two types of classifications
based on the issuer of the security:
Agency, or government, issued securities by government-sponsored enterprise
issuers, such as Fannie Mae, Freddie Mac, and Ginnie Mae. Fannie Mae and

Freddie Mac sell short term (3–6 month) bills at auction on a weekly schedule,[34]
and longer-term (1–10 year) notes at monthly auctions.

The underlying mortgages for Agency MBS are one to four-single family
residential mortgages only.
